Welcome to PulseIQ! These Terms of Service ("Terms") govern your use of PulseIQ's platform, account portal, and related services (collectively, the "Services") as a customer. By using our Services, you agree to these Terms. If you do not agree, please do not use PulseIQ.

1. Eligibility and Account Registration

To use the PulseIQ account portal and access customer features, you must have an active customer agreement in place with PulseIQ. Without such an agreement, access may be restricted or denied.

You agree to provide accurate, current information when creating an account and to keep your login credentials secure. You are responsible for all activity on your account.

2. Use of Services

We grant you a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms and applicable laws. You agree not to:

Use the Services for unlawful, fraudulent, or deceptive purposes;
Upload or distribute content that infringes intellectual property rights or is harmful, offensive, or misleading;
Interfere with the functionality, performance, or security of the Services;
Reverse-engineer, replicate, or resell any part of our technology without written permission.

3. Customer Content and Responsibilities

You retain ownership of all research materials, inputs, and outputs you submit or generate through PulseIQ ("Customer Content"). You grant PulseIQ a limited license to process and analyze this content solely to deliver and improve the Services, including the right to use de-identified to fine-tune and improve our AI models and underlying technology.

You are responsible for:

Ensuring you have the rights to use and upload any content;
Securing any participant consent required for interviews or data collection;
Using insights in compliance with all applicable laws and internal policies.

4. Data and Privacy

Customer information gathered through your use of the services will be handled in accordance with our Customer Privacy Policy. You agree to:

Treat respondent data with confidentiality and care;
Not attempt to re-identify anonymized responses;
Use data solely for research and internal insight generation.

5. Intellectual Property

All PulseIQ technology, software, design, and branding are the intellectual property of PulseIQ or its licensors. These Terms do not grant you any rights to use our trademarks, trade dress, or proprietary technology outside the scope of the Services.

6. Disclaimers

The Services are provided "as-is" without warranties of any kind. We do not guarantee uninterrupted, error-free access or that insights generated will meet your expectations. Use the Services at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, PulseIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, loss of data, or business interruption), even if we have been advised of the possibility of such damages. Our total liability arising out of or relating to the Services is governed by the terms set forth in the Customer Agreement in place between you and PulseIQ. In the absence of such an agreement, our liability will not exceed the greater of the amount you paid to us for the Services in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold PulseIQ harmless from any claims, losses, or expenses arising from your use of the Services, your content, or your violation of these Terms or applicable laws.

9. Termination

Your access to the Services is governed by the terms and duration set forth in your Customer Agreement with PulseIQ. Either party may terminate the Services in accordance with that agreement.

In the absence of a Customer Agreement:

PulseIQ may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, fail to pay applicable fees, or if continued use poses a security or legal risk.
Upon termination, your access to the Services will end, and any Customer Content may be deleted in accordance with our data retention policy.
You may terminate your account by notifying us in writing. Termination will not relieve you of any outstanding payment obligations.

10. Legal Terms

These Terms are governed by the laws of the State of Delaware. Any disputes will be handled exclusively in the state or federal courts located in Delaware. If a provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

11. Updates to These Terms

We may revise these Terms from time to time. If changes are significant, we will notify you directly via email. Continuing to use the Services after updates means you accept the revised Terms.
